ON PURCHASING OF SOUNDS THROUGH OUR WEBSITE (Sound-effects-online.com), FOLLOWING TERMS AND CONDITIONS WILL BE BINDING ON YOU AND IT WILL BE DEEMED THAT YOU AGREE TO BE BOUND BY THEM. THE TERMS AND CONDITIONS ARE AS FOLLOWS:

1. Rights granted and limitations: All elements of Sound Effects Online (“Sounds”) product such as sounds, its libraries from sound effects, royalty free music and imaging elements are licensed to you. They are not sold to you. The position of Sound Effects Online is of owner, distributor or licensee of the Sounds. It may have one or two or even all three positions. By purchasing, which will mean full payment for the Sound Effects Online product you will have perpetual but non-exclusive rights to synchronize any sound content of the Sound Effects Online product in any audio and/or visual productions such as film, television production, advertisements, videogames, radio presentations and commercials, live performance, interactive programs and computer games, training or marketing or trade show presentations, website or other media productions ( Hereinafter all such applications will be referred to as “Production”). You shall not have to pay any license fee, additional royalties or any other fee to Sound Effects Online or any third party. However You shall not be authorized to transfer, re-record, copy, duplicate, distribute, sell, rent, lease, provide access to, sublicense, assign, or share any of the unsynchronized Sounds except as incorporated in a Production without express authorization of Sound Effects Online in any means including the World Wide Web, streaming audio or any delivery method not known but which shall become known. Distribution of Sounds as incorporated in the Sound Effects Online product shall be done synchronized as Production and not in any form whatsoever independent of Production. You shall not give direction in any form or help with any form of instruction, invitation, suggestion or authorization as to how the Sounds may be extracted from a Production. You shall not alter or delete any "watermark" "sound bite" "voice mark" or other ordinarily imperceptible identifier embedded within the Sounds in any form. You shall not distribute the Sounds unsynchronized as a Production i.e. independent of it (Production), in original format or reformatted, filtered, re-synthesized or otherwise edited, for use as sounds, multi-sounds, samples, multi-samples, programs or patches in a sampler, sample playback unit, website, compact disc, DVD or computer. The Sounds cannot be used as source playback from ROM or chip sets or embedded in any chip set. You agree that all information that you provide to Sound Effects Online at any and all times is accurate, complete and not misleading in any material respect. You will exercise due diligence and maintain strict safeguards on all Sounds received by you through Sound Effects Online to prevent unauthorized use or distribution thereof. If You become aware of any unauthorized use or distribution of the Sounds, You shall immediately notify Sound Effects Online via email at copyright@sound-effects-online.com


2. Liability of indemnity and limitation: with respect to any matter that arises as a result of a breach of this Agreement by You, You agree to indemnify, save, hold harmless and defend SOUND EFFECTS ONLINE from and against any and all claims, demands, suits, damages, liabilities with all reasonable expenses, including attorneys' fees, against or suffered by SOUND EFFECTS ONLINE.

3. Relief by injunctive: You acknowledge that SOUND EFFECTS ONLINE and SOUND EFFECTS ONLINE’s Sound Providers have proprietary interest in the Sounds and that any use by You that intends to frustrate the purpose of this Agreement, including but not limited to selling, renting, or otherwise distributing the Sounds independently of a Production would cause irreparable injury to SOUND EFFECTS ONLINE and its Sound Providers and in way that could not be adequately compensated by damages. You agree that, in the event of such improper use, SOUND EFFECTS ONLINE and its Sound Providers shall be entitled to an immediate injunction without the requirement of posting a bond (to the fullest extent permissible by law).


4. Limitation of Liability: You agree that SOUND EFFECTS ONLINE's cumulative liability with respect to any claims made in relation to or arising out of this agreement on any theory or basis will not exceed the license fee paid by you for the Sounds.


5. Disclaimer and performing rights: SOUND EFFECTS ONLINE expressly disclaims all warranties of conditions of any kind, express or implied, including without limitation, the implied warranty of title, non-infringement, merchantability and fitness for a particular purpose. With respect to any music composition that may be included in any Sound Effect Online product, this license does not include performing rights.


6. Jurisdiction for disputes: This License Agreement will be governed by and construed in accordance with the laws of the State of Nevada without regard to its conflicts of laws provisions. You agree that the exclusive jurisdiction for any action relating to this License Agreement will be in the federal or state courts with jurisdiction encompassing Las Vegas, Nevada and you hereby consent to such jurisdiction.


7. Sole Agreement: You also agree that This License Agreement constitutes the entire agreement between SOUND EFFECTS ONLINE and You with respect to the Sounds.
